These Terms & Conditions (“Terms”) govern your access to and use of Kestrel Audit (“Kestrel”, “we”, “us”, “our”), a service operated by Ontrepreneur, a NZ company based in New Zealand. By creating an account, ticking the consent box, or using Kestrel, you agree to these Terms. If you do not agree, do not use Kestrel.
1. What Kestrel does
Kestrel is an independent, read-only auditing tool for Google advertising and related Google services. With your permission, we connect to your Google account, read your data, run automated checks, and present a health score and plain-English findings. Kestrel never changes, edits, pauses, or spends from your account — it only reads.
2. Eligibility & your account
You must be at least 18 and authorised to act for the business whose accounts you connect. You are responsible for the accuracy of the information you provide, for keeping your password secure, and for all activity under your account. Tell us promptly of any unauthorised use.
3. The free audit
The Google Ads audit is provided free of charge and without warranty as to outcome. We may change, limit, or withdraw free features at any time.
4. Paid plans, billing & renewals
Paid plans (when available) unlock additional channels and features. Fees are shown at sign-up and charged in advance — monthly or annually, as you choose — and renew automatically until cancelled. You authorise us and our payment processor to charge your nominated payment method for each billing period. Prices may change on renewal with prior notice. Taxes (e.g. GST/VAT/sales tax) may apply depending on your location.
5. Refunds
Fees are non-refundable. You can cancel at any time to stop future charges; cancellation takes effect at the end of your current billing period and you keep access until then.
Nothing in this clause limits rights you may have under mandatory consumer law in your country — including the New Zealand Consumer Guarantees Act 1993, the Australian Consumer Law, the UK Consumer Rights Act 2015, or equivalent legislation — which apply where they cannot lawfully be excluded.
6. Access to your Google account
You grant Kestrel permission to access the Google data needed to run your audit, on a read-only basis. You may revoke this access at any time in your Google account settings or by disconnecting inside Kestrel. Our handling of that data is described in our Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements.
7. Acceptable use
You agree not to misuse Kestrel: no unlawful use, no attempts to access accounts or data that aren’t yours, no reverse-engineering, scraping, reselling, or overloading the service, and no use that breaches Google’s terms. We may suspend or terminate accounts that breach these Terms.
8. Our intellectual property
Kestrel, its software, checks, scoring, branding, and content are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use Kestrel for your own business while these Terms are in force. Your data remains yours.
9. No professional advice; results not guaranteed
Kestrel’s findings are automated, informational, and general in nature. They are not financial, legal, or professional marketing advice, and we do not guarantee any particular result, ranking, lead volume, or return on ad spend. You are responsible for decisions you make based on the audit.
10. Disclaimers & limitation of liability
To the maximum extent permitted by law, Kestrel is provided “as is” and “as available”, and we exclude all implied warranties. We are not liable for indirect, incidental, or consequential loss, or for loss of profits, revenue, data, or goodwill. Where liability cannot be excluded, our total liability to you is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded, including under applicable consumer law.
11. Suspension & termination
You may stop using Kestrel and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where required by law. On termination, your right to use Kestrel ends; clauses that by their nature should survive (e.g. fees owed, IP, disclaimers, liability) continue.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app before they take effect. Continuing to use Kestrel after that means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction — without limiting any mandatory consumer-protection rights you have in your own country of residence.
